By creating an account or using Tik Network, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or platform notification. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

2.1 License Grant. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

2.2 Acceptable Use. You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Upload malicious code, viruses, or any harmful software to the platform
• Attempt to gain unauthorized access to any part of the Services or other users' accounts
• Use the Services to create content that is offensive, discriminatory, defamatory, or violates third-party rights
• Engage in any form of automated scraping or data mining
• Resell or redistribute the Services without our written permission

2.3 Service Availability. We strive to maintain high availability but do not guarantee uninterrupted access. We may suspend or terminate Services for maintenance, updates, or security reasons with notice when possible.

3.1 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.

3.2 Account Information. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete.

3.3 Account Termination. We reserve the right to suspend or terminate your account if you violate these Terms or engage in activities that harm the platform, other users, or our business interests.

4.1 Your Content. You retain ownership of all content you create, upload, or generate using our Services ("Your Content"). By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display Your Content solely for the purpose of providing and improving the Services.

4.2 AI-Generated Content. Content generated using our AI tools is provided to you under a commercial license for your use. You are responsible for ensuring AI-generated content complies with applicable laws and does not infringe third-party rights.

4.3 Our Intellectual Property. The Services, including all software, designs, text, graphics, and other materials, are owned by Tik Network or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

4.4 Feedback. If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use them without compensation or obligation to you.

5.1 Pricing. Certain features of the Services require payment of fees. All fees are displayed on our website and may be changed with 30 days' notice.

5.2 Payment Processing. Payments are processed through third-party payment providers. You agree to provide accurate payment information and authorize us to charge the applicable fees to your payment method.

5.3 Credit System. Our platform operates on a credit-based system. Credits are non-refundable once purchased and expire according to the terms disclosed at the time of purchase.

5.4 Refunds. Fees are generally non-refundable except as required by law or as expressly stated in our refund policy. If you believe you were charged in error, contact us within 30 days.

5.5 Taxes. Fees are exclusive of applicable taxes, duties, or similar charges, which you are responsible for paying.

6.1 Termination by You. You may terminate your account at any time through your account settings or by contacting support. Termination does not entitle you to a refund of any fees already paid.

6.2 Termination by Us. We may suspend or terminate your access to the Services immediately if you breach these Terms, engage in fraudulent activity, or if required by law.

6.3 Effect of Termination. Upon termination, your right to use the Services ceases immediately. We may delete Your Content after a reasonable grace period. Provisions that by their nature should survive termination will remain in effect.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free from viruses or other harmful components. We do not guarantee the accuracy, reliability, or quality of AI-generated content or influencer discovery results.

You acknowledge that AI-generated content may contain errors, biases, or inaccuracies and that you are responsible for reviewing and validating all content before use.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIK NETWORK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Tik Network, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of the Services
• Your Content or any content you create using our AI tools
• Your violation of these Terms
• Your violation of any rights of another party

These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Ho Chi Minh City, Vietnam.

11.1 Entire Agreement. These Terms constitute the entire agreement between you and Tik Network regarding the Services and supersede all prior agreements.

11.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

11.3 Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

11.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

11.5 Force Majeure. We shall not be liable for any failure to perform due to causes beyond our reasonable control.
